1. Introduction and Scope

These Terms of Service ("Terms") constitute a legally binding agreement between XALT Global LLC, a Wyoming limited liability company ("XALT," "we," "us," or "our"), and you ("you" or "your").

These Terms govern your access to and use of:

• Any related websites, applications, forms, or digital properties operated by XALT
• XALT membership programs, events, services, content, and communications

By accessing the website, submitting an application, enrolling as a member, or receiving communications from XALT, you agree to be bound by these Terms.

2. Age Restriction and Eligibility

You must be at least eighteen (18) years of age to use our Services.

You may use the Services only if:

• You are at least 18 years old or the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding contract
• You are not prohibited from using the Services under applicable law

XALT reserves the right to deny, suspend, or terminate access at its sole discretion.

3. Nature of Services

XALT operates a private, invitation-only membership alliance for high-capacity men. Services may include, but are not limited to:

• Membership programs and experiences
• Calls, meetings, retreats, and events
• Digital content and materials
• Communications via email, SMS, phone, or other channels

XALT does not provide medical, legal, financial, or psychological advice. Participation is voluntary and at your own discretion.

4. Applications, Membership, and Payments

• Submission of an application does not guarantee acceptance.
• Membership fees, payment terms, refunds, and cancellations are governed by your executed Membership Agreement, which is incorporated by reference.
• Payments are processed by third-party payment processors (including Stripe). XALT does not store your payment credentials.

5. SMS/Text Messaging Terms

By providing your mobile phone number and opting in, you consent to receive SMS/text messages from XALT Global LLC. These messages may include:

• Membership confirmations and updates
• Event reminders and notifications
• Application status updates
• Administrative and transactional messages
• Promotional and marketing messages about XALT programs

6. SMS Opt-Out Instructions

To stop receiving SMS messages from XALT at any time, reply STOP to any message.

You may also text STOP to +1 (888) 995-9258. After opting out, you will receive a one-time confirmation message. You will no longer receive SMS messages from XALT unless you opt in again.

7. Carrier Liability Disclaimer

XALT and mobile carriers (including but not limited to AT&T, Verizon, T-Mobile, Sprint, and others) are not liable for delayed or undelivered messages. Delivery of SMS messages is subject to effective transmission by your mobile carrier and is outside of XALT's control.

Carriers are not responsible for the content of messages sent through the XALT messaging program.

9. Intellectual Property

All content, branding, trademarks, logos, materials, and intellectual property associated with XALT are owned by or licensed to XALT.

You are granted a limited, non-exclusive, non-transferable, revocable license to access materials solely for your personal, non-commercial use. No ownership rights are transferred.

10. Prohibited Conduct

You agree not to:

• Misrepresent your identity or affiliation
• Share confidential or proprietary XALT materials
• Harass, threaten, defame, or harm others
• Use the Services for unlawful, deceptive, or abusive purposes
• Interfere with system security or functionality

Violation of this section may result in immediate suspension or termination without notice.

11. Termination

XALT may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms.

You may discontinue use of the Services at any time, subject to obligations under your Membership Agreement.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available."

To the fullest extent permitted by law, XALT disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

XALT does not guarantee outcomes, results, or uninterrupted availability of Services.

13. Limitation of Liability

To the maximum extent permitted by law, XALT shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, opportunity, or goodwill.

XALT's total liability arising out of or relating to the Services shall not exceed the amount paid by you to XALT in the twelve (12) months preceding the event giving rise to the claim.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Wyoming, unless otherwise required by applicable law.

15. Changes to These Terms

XALT may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
